Terms of Service

These Terms of Service (the "Terms") govern the provision and use of the services offered by Alkeyya AI ("Alkeyya AI," "we," "us," or "our") to the client ("Client," "you," or "your"). By engaging our services, requesting a service setup, or making payment for any service, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

If you do not agree with these Terms, you should not engage or continue to use our services.

1. Service Description

Alkeyya AI provides a managed artificial intelligence ("AI") receptionist and call-handling service designed to help businesses manage inbound communications and customer interactions. Our services are fully configured, operated, and maintained by Alkeyya AI on behalf of the Client.

Our services may include, but are not limited to:

  • AI-powered phone answering and automated call handling;
  • Call forwarding and routing to designated recipients;
  • Appointment scheduling and booking coordination;
  • SMS and email notifications and message delivery;
  • Website chat integration and automated response handling.

This is a managed service. Alkeyya AI configures, deploys, and manages all aspects of the service on the Client's behalf. The service does not include user accounts, login systems, dashboards, or self-service portals. All updates, reports, and communications are delivered to the Client directly via email or other agreed direct communication channels.

The specific scope, features, and deliverables applicable to a given Client are defined in the individual service agreement, proposal, or order confirmation provided to that Client.

2. Acceptable Use Policy

The Client agrees to use the services only for lawful purposes and in accordance with these Terms. The Client shall not use, or permit any third party to use, the services to:

  • Violate any applicable local, national, or international law or regulation;
  • Transmit, facilitate, or solicit fraudulent, deceptive, abusive, harassing, or unlawful communications;
  • Engage in unsolicited bulk messaging, spam, or communications that violate telemarketing, anti-spam, or consumer-protection laws;
  • Impersonate any person or entity or misrepresent an affiliation with any person or entity;
  • Infringe upon the intellectual property, privacy, or other rights of any third party;
  • Distribute malware, harmful code, or attempt to disrupt, compromise, or gain unauthorized access to our systems or those of any third party;
  • Use the service in any manner that could damage, disable, overburden, or impair the service or interfere with any other party's use of it.

The Client is solely responsible for ensuring that its use of the services — including the content of communications handled through the service and the collection of any customer consent required by law — complies with all applicable regulations governing telecommunications, data protection, and consumer rights in the Client's jurisdiction and the jurisdictions of the Client's customers.

Alkeyya AI reserves the right to investigate and to suspend or terminate services in response to any suspected violation of this Acceptable Use Policy.

3. Service Limitations and Disclaimers

3.1 Nature of AI Technology

The services rely on artificial intelligence, automated systems, and third-party technologies. While we strive for accuracy and reliability, AI systems are inherently probabilistic and may produce errors, misunderstand input, misclassify requests, or generate incorrect, incomplete, or unexpected responses. The Client acknowledges that the service is not a substitute for human judgment in critical, urgent, emergency, or high-stakes situations.

The services should not be relied upon for emergency communications. Callers with emergencies should be directed to appropriate emergency services.

3.2 Uptime and Availability

We aim to provide a reliable and continuously available service; however, we do not guarantee uninterrupted, error-free, or always-available service. The services may be temporarily unavailable due to scheduled maintenance, updates, technical failures, third-party provider outages, telecommunications disruptions, or events beyond our reasonable control.

Alkeyya AI does not warrant that the services will meet every requirement of the Client or that all defects will be corrected. Any service-level commitments, if offered, will be set out in the applicable individual service agreement.

3.3 Third-Party Dependencies

The services depend on third-party platforms, telecommunications carriers, and infrastructure providers. We are not responsible for failures, delays, errors, or interruptions caused by such third parties, and we make no warranties regarding their performance.

4. Payment and Billing Terms

The fees for the services, the billing frequency, and the applicable payment terms are set out in the individual service agreement, proposal, or invoice provided to the Client. Unless otherwise agreed in writing, the following general terms apply:

  • Fees are charged on a recurring basis (such as monthly) and may include one-time setup or onboarding charges;
  • Payment is due in accordance with the schedule stated on the applicable invoice or agreement;
  • All fees are stated exclusive of applicable taxes, duties, or levies, which are the responsibility of the Client unless otherwise specified;
  • Fees are non-refundable except where expressly stated in these Terms or required by applicable law;
  • We reserve the right to revise our fees, with reasonable advance notice provided to the Client before any change takes effect.

If payment is not received by the due date, Alkeyya AI may, after providing reasonable notice, suspend or discontinue the provision of services until outstanding amounts are paid in full. The Client remains responsible for all fees accrued prior to any suspension or termination.

5. Service Term, Termination, and Cancellation

Services continue on an ongoing basis according to the billing cycle stated in the applicable agreement until terminated by either party in accordance with these Terms.

5.1 Cancellation by the Client

The Client may cancel the services by providing written notice to Alkeyya AI through the designated contact channel. Unless otherwise agreed, cancellation takes effect at the end of the current billing cycle, and the Client will not be charged for subsequent cycles. Fees already paid for the current cycle are non-refundable except where required by law.

5.2 Termination by Alkeyya AI

We may suspend or terminate the services, in whole or in part, with or without notice, if the Client breaches these Terms, fails to make payment when due, engages in conduct that violates the Acceptable Use Policy, or where required to comply with legal obligations or to protect the integrity of our systems.

5.3 Effect of Termination

Upon termination, the Client's right to receive the services ceases. We will, upon reasonable request and where feasible, provide assistance with the orderly wind-down of services. Provisions of these Terms that by their nature should survive termination — including those relating to payment obligations, intellectual property, liability limitations, and governing terms — shall survive.

6. Data Privacy and Handling

In the course of delivering the services, Alkeyya AI may process information relating to the Client and to the Client's customers and callers, which may include contact details, call data, messages, and scheduling information.

We handle such information in accordance with our Privacy Policy and applicable data-protection laws. We implement reasonable technical and organizational measures designed to protect information against unauthorized access, loss, or disclosure. However, no method of electronic transmission or storage is completely secure, and we cannot guarantee absolute security.

The Client is responsible for obtaining any consents, providing any notices, and complying with any legal requirements necessary for the lawful collection and processing of its customers' information through the services, including any call-recording or messaging-consent obligations applicable in the relevant jurisdictions.

Where Alkeyya AI processes personal data on behalf of the Client, it does so as a service provider acting under the Client's instructions, and only to the extent necessary to deliver the agreed services.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Alkeyya AI, its owners, officers, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, business opportunities, goodwill, data, or anticipated savings, arising out of or in connection with the services, whether based in contract, tort, negligence, or any other legal theory, even if advised of the possibility of such damages.

To the maximum extent permitted by applicable law, the total aggregate liability of Alkeyya AI arising out of or relating to the services shall not exceed the total amount of fees actually paid by the Client to Alkeyya AI for the services during the three (3) month period immediately preceding the event giving rise to the claim.

The services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement, except to the extent such warranties cannot be excluded under applicable law.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

8. Intellectual Property

All intellectual property rights in and to the services, including the underlying systems, software, configurations, workflows, templates, methodologies, designs, documentation, and the Alkeyya AI name, logo, and branding, are and shall remain the exclusive property of Alkeyya AI or its licensors. Nothing in these Terms transfers any ownership of such intellectual property to the Client.

The Client retains ownership of its own pre-existing content, business information, branding, and customer data provided to Alkeyya AI for the purpose of delivering the services. The Client grants Alkeyya AI a limited, non-exclusive license to use such materials solely as necessary to configure, operate, and maintain the services on the Client's behalf.

The Client may not copy, reproduce, modify, reverse-engineer, resell, or create derivative works from any part of the services, systems, or proprietary materials of Alkeyya AI without prior written consent.

9. Changes to These Terms

Alkeyya AI may modify or update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. When we make material changes, we will provide reasonable notice to the Client through email or other direct communication channels.

The Client's continued use of the services after the effective date of any revised Terms constitutes acceptance of those Terms. If the Client does not agree to the revised Terms, the Client's sole remedy is to cancel the services in accordance with Section 5.

10. General Provisions

10.1 Entire Agreement

These Terms, together with any individual service agreement, proposal, or order confirmation and our Privacy Policy, constitute the entire agreement between the parties regarding the services and supersede all prior understandings or agreements.

10.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or removed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

10.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

10.4 Assignment

The Client may not assign or transfer its rights or obligations under these Terms without our prior written consent. Alkeyya AI may assign its rights and obligations in connection with a merger, acquisition, or sale of assets.

10.5 Force Majeure

Alkeyya AI shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of nature, telecommunications or internet failures, third-party provider outages, governmental actions, or other events of force majeure.

10.6 Governing Law

These Terms shall be governed by and construed in accordance with the applicable laws of the jurisdiction in which Alkeyya AI is established, without regard to conflict-of-law principles. The parties agree to submit to the exclusive jurisdiction of the courts located in that jurisdiction, except where mandatory consumer-protection laws of the Client's jurisdiction provide otherwise.
